Agent safety release agreement

THE SENTRILOCK AGENT SAFETY FEATURE IS NOT A SUBSTITUTE FOR DIALING 911 DURING AN EMERGENCY, NOR CAN IT PERFORM ITS FUNCTION IF YOU ARE OUT OF CELLULAR COVERAGE, YOUR PHONE BATTERY DIES, YOU CANNOT SEND AND RECEIVE DATA, OR IF YOUR EMERGENCY CONTACTS ARE UNAVAILABLE OR ARE OUT OF CELL COVERAGE. DURING AN EMERGENCY, DIAL 911 IMMEDIATELY

1. By activating the Agent Safety feature in SentriKey Real Estate, I, on behalf of myself and my heirs, executors, administrators, successors, and assigns, as the case may be, hereby release SentriLock LLC, an Ohio limited liability company, and SentriLock Inc., an Ohio corporation (collectively, “SentriLock”), and SentriLock’s members, managers, officers, agents, employees, and affiliates (individually and collectively, the “SentriLock Affiliates”) from any and all liabilities, claims, demands, and causes of action of any kind arising out of or related to any damages, injuries (including death), or loss of any kind (collectively, “Claims”), that are sustained by me, or to any property belonging to me, regardless of whether such damages, injuries, or loss are caused by the negligence of SentriLock or the SentriLock Affiliates, the members on my chosen list of emergency contacts, or otherwise, to the fullest extent allowed by law. Without limiting the foregoing, I hereby agree that in no event shall SentriLock or the SentriLock Affiliates’ aggregate liability for any claims, damages, or injuries directly or indirectly arising from or related to my use of SentriKey Real Estate or the Agent Safety feature exceed $1,000.00.

2. I further agree to indemnify and hold harmless SentriLock and the SentriLock Affiliates against and in respect to any Damages to the fullest extent allowed by law. “Damages” shall include any Claims (regardless of whether such Claims are caused by the negligence of SentriLock or the SentriLock Affiliates or my inadvertent failure to respond to the alert) incurred by SentriLock or any of the SentriLock Affiliates in investigating or in attempting to avoid the same, or opposing the imposition thereof, resulting directly or indirectly from damages or injuries sustained by me or any property belonging to me, including without limitation court costs and attorneys’ fees.

3. I am fully aware that the Agent Safety feature is not a substitute for dialing emergency services and is only intended as a limited backup in the event I do not respond to a timed notification on my mobile device. I am aware that any contacts that receive the Agent Safety alert may not respond due to a number of factors completely outside the control of SentriLock or the SentriLock Affiliates. I also understand that the use of this feature is completely optional.

4. This Agreement contains and incorporates all the representations and agreements of SentriLock and me, and constitutes our entire agreement. It is my express intent that the terms of this Agreement shall bind me and the members of my family (including, without limitation, my spouse) and my heirs, assigns, and personal representatives, and shall be deemed as a release, waiver, discharge, and covenant not to sue SentriLock and the SentriLock Affiliates. I hereby further agree that this Agreement shall be construed in accordance with the laws of the State of Ohio and that any mediation, suit, or other proceeding must be filed or entered into only in Ohio and the federal or state courts of Ohio. Any portion of this document deemed unlawful or unenforceable is severable and shall be stricken without any effect on the enforceability of the remaining provisions. I hereby agree to take any and all additional actions reasonably requested of me to effectuate the releases and waivers provided for herein. The covenants, representations, and agreements contained herein shall survive my termination or cessation of use of SentriKey Real Estate or the Agent Safety feature.
